Welcome to UpDigit. These Terms & Conditions govern your use of our website (updigit.in) and the professional digital marketing, website development, branding, and other related services we provide. By accessing our website or engaging our services, you agree to be bound by these terms.
1. Introduction & Scope
UpDigit (“we”, “our”, “us”) provides digital marketing, website design & development, SEO, content marketing, ads management, and branding services. These Terms apply to all visitors, users, and clients of our website and services.
2. Acceptance of Terms
By using our website or signing a service agreement with us, you confirm that you have read, understood, and accepted these Terms & Conditions, along with our Privacy Policy. If you do not agree, please do not use our website or services.
3. Services & Deliverables
- Service Descriptions: The specific scope, deliverables, timeline, and fees for any project will be detailed in a separate Service Agreement, Quotation, or Proposal provided to you.
- Changes to Scope: Any requested changes to the agreed scope after project commencement may result in additional charges and timeline revisions. Such changes will be documented via a Change Request form.
- Client Responsibilities: You agree to provide timely feedback, necessary content, approvals, access to relevant platforms (e.g., Google Analytics, social media accounts), and any other reasonable cooperation required for us to deliver the services.
4. Payments & Fees
- Quotations: All quoted prices are exclusive of applicable taxes (GST, etc.) unless stated otherwise. Quotations are valid for the period mentioned in the document.
- Invoicing: We will issue invoices as per the agreed payment schedule (e.g., advance, milestone-based, or installments). Payments must be made in full by the due date.
- Late Payment: Overdue invoices may incur interest at 1.5% per month or the maximum legal rate, and we may suspend services until payment is received.
- Refund Policy: Due to the nature of digital services (consulting, creative work, ad spends, etc.), fees are generally non-refundable once work has commenced. However, specific refund conditions, if any, will be mentioned in your Service Agreement.
5. Intellectual Property
- Ownership of Final Work: Upon full payment, all custom-developed website code, original designs, and final deliverables specifically created for you shall become your property. Third-party tools, frameworks, images licensed from stock providers, or pre-existing UpDigit components remain our property or that of their respective owners.
- UpDigit’s Rights: We retain the right to showcase completed work (e.g., website design, campaign examples) in our portfolio, social media, and marketing materials, unless you request confidentiality in writing.
- Client Materials: You retain ownership of all content, logos, and trademarks you provide. You warrant that you have the legal right to use and authorize us to use such materials for the project.
6. Client Obligations & Warranties
You agree that:
- You will provide accurate, lawful, and non-infringing content for your website or campaigns.
- You will not ask us to engage in deceptive, manipulative, or illegal practices (e.g., black-hat SEO, fake reviews, misleading ads).
- Any access given to your accounts (e.g., Google, social media) will be with the necessary permissions, and you accept responsibility for actions taken under your credentials.
7. Limitation of Liability
To the maximum extent permitted by law:
- UpDigit shall not be liable for any indirect, incidental, special, or consequential damages (including loss of revenue, profits, or data) arising from the use or inability to use our services.
- Our total liability for any claim related to our services shall not exceed the total fees paid by you to us in the three months preceding the claim.
- We do not guarantee specific outcomes such as #1 search rankings, exact number of leads/sales, or ROI, as digital marketing results depend on many factors beyond our control.
8. Third-Party Platforms & Tools
We may use third-party services (e.g., Google Ads, Meta, hosting providers, plugins). You agree to comply with their respective terms. We are not responsible for changes, outages, or policies of third-party platforms.
9. Confidentiality
Both parties agree to treat each other’s non-public business information as confidential. This obligation survives termination of our agreement.
10. Termination
- By Either Party: Either party may terminate a specific project agreement with written notice if the other party commits a material breach and fails to cure it within 15 days.
- By UpDigit: We may suspend or terminate services immediately if payment is overdue, you violate applicable laws, or you engage in abusive behavior towards our team.
- Effect of Termination: You must pay for all work completed up to the termination date. Upon termination, we will provide you with completed deliverables (if fully paid) and revoke access to our internal tools.
11. Indemnification
You agree to indemnify and hold UpDigit harmless from any claims, damages, or expenses (including legal fees) arising from your content, your violation of these terms, or your infringement of any third-party rights.
12. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, such as natural disasters, internet outages, government actions, or platform policy changes.
13. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of India. Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Cuttack, Odisha.
14. Changes to These Terms
We may update these Terms & Conditions from time to time. Changes are effective when posted on this page, with a new “Last Updated” date. For significant changes, we may notify you via email or a notice on our website. Your continued use of our services after changes constitutes acceptance.
